About
Complete review. Cited findings. Quantified impact.
FirstSounding exists because the most expensive problems in private deals are often present in the data room from the outset. Time rarely allows a full review of the data room, or a systematic comparison of its documents with each other.
AI can now read an entire data room in hours. On its own, that is not enough: a fast, unchecked answer is worth little to an investment committee. Our approach therefore combines AI models fine-tuned for due diligence, run on our own infrastructure, with experienced professionals who check every finding before it is released.

How we work
01
We cite everything
Every finding points to the document and page, or the external source. If we cannot cite it, we do not report it.
02
We stay independent
We work only for buyers and for the lenders financing them. We do not work for sellers, do not host data rooms, and do not take fees tied to whether a deal closes.
03
We quantify impact
An unquantified finding carries little weight in a negotiation. Every material finding comes with a range.
04
We state what remains uncertain
Uncertain findings are labeled as such, with the question that would resolve them.
05
We delete what we are given
Data room documents are held for the engagement and no longer. We keep only the final report and its review record (reviewer sign-offs and engagement correspondence), for the period set in the engagement letter.
Who does the work
FirstSounding is built by engineers with experience in data products for regulated industries. Every report is reviewed by professionals with transaction-services experience, supported by forensic, regulatory, and legal specialists.
Discuss a transaction under LOI.
Share the sector, the deal size, and the end of exclusivity. We respond within one business day with an assessment of fit and the proposed scope of the report.
